How do I dissolve my Delaware C corporation?

If your company is no longer conducting business, the safest way to close it down is to dissolve it with the Delaware Secretary of State. Dissolving a company helps protect everyone involved from future liability. After a company dissolves, it is no longer required to pay franchise tax or file an annual report with Delaware (because it no longer exists).

The way to properly dissolve a corporation depends on what the corporation has done, so it varies from company to company. Because of this, we don't have any products for dissolution. However, if you formed your company on Clerky and need to dissolve it, feel free to contact us for detailed information about the process.
