Every Delaware corporation has to (1) file Delaware’s annual franchise tax report and (2) pay Delaware’s franchise tax for the previous year before the March 1st deadline. These obligations must be completed at the same time on the Delaware Division of Corporations website.
Most startups only have to pay $450 to be compliant. That’s a $50 annual report filing fee plus the $400 minimum franchise tax, the latter calculated using the Assumed Par Value Capital Method.
